These Terms of Use (“Terms”) govern your access to and use of argoexpedite.com and the services, networks, features, information, and content provided by Argo Expedite LLC (“Argo Expedite,” “Argo,” “we,” “us,” or “our”).

 

These Terms apply to visitors, registered users, owner-operators participating in the Argo Owner-Operator Network (“AON”), subscribers and members of the Argo Partners Network (“APN”), and others who access or use our services.

 

By accessing or using our website or services, creating an account, submitting an application, or purchasing a subscription, you agree to these Terms and our Privacy Policy.

 

If you do not agree to these Terms, do not use our services.

 

1. ABOUT ARGO EXPEDITE

 

Argo Expedite operates a logistics network designed to help independent owner-operators become discoverable and connect with participants in the transportation and logistics industry.

 

Our services may include:

  • The Argo Owner-Operator Network (“AON”)

  • The Argo Partners Network (“APN”)

  • Owner-operator listings and profiles

  • Membership and subscription services

  • Logistics networking and business-development tools

  • Dispatching-related services or opportunities

  • Other transportation-related services that Argo may introduce

 

Argo may modify, add, suspend, or discontinue features or services from time to time.

 

2. ELIGIBILITY

 

You must be at least 18 years old and legally capable of entering into a binding agreement to use our services.

 

Our services are primarily intended for individuals and businesses participating in or supporting the transportation and logistics industry.

 

If you use the services on behalf of a company or other organization, you represent that you have authority to act on behalf of that organization and bind it to these Terms.

 

3. USER ACCOUNTS

 

Certain Argo services require you to create an account.

 

You agree to provide accurate and current information and to update your information when necessary.

 

You are responsible for:

  • Maintaining the confidentiality of your login credentials

  • Activities occurring through your account

  • Preventing unauthorized access to your account

  • Promptly notifying Argo if you suspect unauthorized use

 

Accounts and subscriptions are intended for the registered user or authorized business unless Argo expressly permits otherwise.

 

You may not sell, transfer, share, sublicense, or provide your account credentials to unauthorized persons.

Argo may suspend or terminate accounts that violate these Terms or create a security or misuse risk.

 

4. ARGO OWNER-OPERATOR NETWORK (AON)

 

The Argo Owner-Operator Network is designed to help independent owner-operators make their business and equipment information discoverable to logistics industry participants.

 

Owner-operators may apply to join the network by submitting information requested by Argo.

 

Submission of an application does not guarantee approval or inclusion in the network.

 

Argo reserves the right to approve, reject, update, suspend, or remove listings when reasonably necessary to maintain the quality, accuracy, security, or integrity of the network.

 

By submitting information for an AON listing, you represent that:

  • The information you provide is accurate to the best of your knowledge

  • You have the right and authority to provide the information

  • You authorize Argo to use approved information to create and maintain your network listing

  • Certain information may be displayed publicly

  • Additional business and contact information may be made available to authorized APN members as described in our Privacy Policy

Owner-operators are responsible for notifying Argo when material listing information changes.

 

5. ARGO PARTNERS NETWORK (APN)

 

The Argo Partners Network provides eligible members with access to additional network information and features.

 

APN members may include transportation and logistics industry participants such as dispatchers, carriers, brokers, shippers, and other approved businesses or professionals.

 

APN membership does not grant ownership of Argo's database or the information contained within it.

 

Access is provided solely for legitimate transportation, logistics, networking, recruiting, capacity sourcing, or related business purposes.

 

Argo may change APN features, available information, eligibility requirements, or membership structure from time to time.

 

6. USE OF OWNER-OPERATOR INFORMATION

 

Information obtained through APN may be used only for legitimate business purposes related to transportation and logistics.

 

Unless Argo provides prior written permission, users may not:

  • Copy or download substantial portions of the Argo database

  • Scrape, crawl, harvest, mine, or systematically extract network information

  • Build or maintain a competing owner-operator database using Argo information

  • Resell, sublicense, publish, distribute, or commercially redistribute Argo network data

  • Provide APN access or network information to unauthorized third parties

  • Use automated tools, bots, scripts, or software to collect network information

  • Use network information for unlawful, fraudulent, deceptive, abusive, or harassing purposes

  • Circumvent access restrictions, subscription requirements, security controls, or other technical protections

  • Use owner-operator information for unrelated mass marketing or spam

 

Reasonable individual use of contact information for legitimate logistics and business outreach is permitted.

 

Violation of this section may result in immediate suspension or termination of access.

 

7. SUBSCRIPTIONS AND PAYMENTS

 

Certain Argo services, including APN access, may require a paid subscription.

 

Current pricing and applicable subscription terms are displayed on the website at the time of purchase.

 

Unless otherwise stated at checkout, paid subscriptions may automatically renew according to the billing interval selected at purchase until canceled.

 

By purchasing a subscription, you authorize the applicable payment processor to charge the payment method provided for applicable subscription fees and taxes.

 

You are responsible for maintaining valid payment information.

 

Argo may change subscription pricing or plan features. When required, we will provide reasonable notice before pricing changes apply to an existing recurring subscription.

 

8. FREE TRIALS AND PROMOTIONAL ACCESS

 

Argo may occasionally offer free trials, promotional memberships, discount codes, or complimentary access.

 

Eligibility, duration, features, and other conditions may vary by promotion.

 

Unless expressly stated otherwise, promotional or trial access:

  • Has no cash value

  • May not be transferred or resold

  • May be limited to one offer per person or business

  • May be modified or withdrawn where permitted by law

  • Automatically ends when the stated promotional period expires

 

If payment information is required for a trial that converts into a paid subscription, the applicable terms will be disclosed during signup.

 

9. CANCELLATION

 

Members may cancel recurring subscriptions using the cancellation options available through their account or by contacting Argo.

 

Cancellation generally prevents future renewal charges but does not necessarily provide a refund for a billing period already purchased, except where required by law or expressly stated otherwise.

 

Access to paid features may continue until the end of the applicable paid billing period.

 

10. REFUNDS

 

Except where required by applicable law or expressly stated at the time of purchase, subscription fees are non-refundable once a billing period has begun.

 

Argo may, at its discretion, issue credits or refunds in individual circumstances. Providing a refund or credit in one situation does not create an obligation to provide one in another.

 

11. NO GUARANTEE OF BUSINESS OPPORTUNITIES

 

Argo provides networking, discovery, information, and related services.

Argo does not guarantee:

  • Loads or freight opportunities

  • Dispatching clients

  • Carrier relationships

  • Broker relationships

  • Employment

  • Contracts

  • Revenue or profit

  • Specific rates

  • Business volume

  • Responses from network participants

  • Successful business relationships

 

Results depend on market conditions, user qualifications, availability, negotiations, and other factors outside Argo's control.

 

12. INDEPENDENT BUSINESS RELATIONSHIPS

 

Unless Argo expressly enters into a separate written agreement stating otherwise, Argo is not a party to contracts, negotiations, load agreements, dispatch agreements, carrier agreements, employment arrangements, or other transactions entered into between network participants.

 

Users are responsible for evaluating potential business partners and determining whether they wish to conduct business with them.

 

Each user is responsible for performing appropriate due diligence, including verifying operating authority, insurance, licensing, safety information, identity, qualifications, and other relevant information before entering into a transaction or business relationship.

 

13. ACCURACY OF NETWORK INFORMATION

 

Argo makes reasonable efforts to maintain useful network information, but information may be provided by users, obtained from public records, or derived from other sources.

 

Argo does not guarantee that every listing or piece of information is complete, accurate, current, verified, or error-free.

 

Information such as operating authority, insurance, equipment availability, contact details, MC numbers, USDOT numbers, capacity, and business status may change.

 

Users should independently verify information before making business, operational, financial, or safety decisions.

 

14. PUBLICLY AVAILABLE INFORMATION

 

Argo may obtain certain business information from publicly available sources, including transportation, regulatory, motor-carrier, and other lawful public records.

 

If you believe information associated with you or your business is inaccurate or should be reviewed, contact Argo at info@argoexpedite.com.

Requests will be reviewed consistent with applicable law and Argo's legitimate business and recordkeeping requirements.

 

15. ACCEPTABLE USE

 

You agree not to use Argo's website or services to:

  • Violate applicable laws or regulations

  • Commit or facilitate fraud

  • Impersonate another person or business

  • Submit intentionally false or misleading information

  • Harass, threaten, or abuse other users

  • Send unlawful spam or unsolicited bulk communications

  • Introduce malware, viruses, or malicious code

  • Attempt unauthorized access to accounts, systems, databases, or restricted information

  • Interfere with the operation or security of the website

  • Circumvent subscription or access controls

  • Scrape or systematically extract data without authorization

  • Use Argo's services in a manner that infringes intellectual property or privacy rights

 

16. INTELLECTUAL PROPERTY

 

The Argo Expedite website and its original content, branding, logos, design, software, database structure, organization, selection and arrangement of information, and other proprietary materials are owned by or licensed to Argo Expedite and are protected by applicable intellectual property laws.

 

Your use of the services does not transfer ownership of Argo intellectual property to you.

Except as expressly permitted by these Terms, you may not reproduce, modify, distribute, sell, license, publish, create derivative works from, or commercially exploit Argo's proprietary materials without prior written permission.

 

17. USER-SUBMITTED INFORMATION

 

You retain ownership of information that you lawfully submit to Argo.

 

By submitting information for use in our services, you grant Argo a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, display, and use that information as reasonably necessary to operate, promote, maintain, and improve the applicable Argo services.

 

This license ends when the information is no longer reasonably required for those purposes, subject to legal, security, backup, and recordkeeping requirements.

 

18. THIRD-PARTY SERVICES AND LINKS

 

Argo may use or provide access to third-party services, websites, payment processors, platforms, or resources.

 

Argo does not control and is not responsible for the content, availability, privacy practices, security, products, services, or conduct of independent third parties.

 

Your use of third-party services may be subject to separate terms and privacy policies.

19. SUSPENSION AND TERMINATION

Argo may suspend, restrict, or terminate access to some or all services if we reasonably believe a user:

  • Violated these Terms

  • Misused network information

  • Shared unauthorized access

  • Engaged in scraping or data harvesting

  • Failed to pay applicable fees

  • Created security or legal risk

  • Engaged in fraudulent, abusive, or unlawful activity

  • Materially harmed Argo, the network, or another user

 

Users may stop using Argo services at any time, subject to applicable subscription and billing terms.

 

Provisions that by their nature should survive termination will remain in effect, including intellectual property restrictions, disclaimers, limitations of liability, and dispute provisions.

 

20. DISCLAIMER OF WARRANTIES

 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARGO'S WEBSITE, NETWORK, INFORMATION, AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

 

ARGO DOES NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, OR ERROR-FREE.

 

ARGO DOES NOT WARRANT OR GUARANTEE THE IDENTITY, RELIABILITY, QUALIFICATIONS, AUTHORITY, INSURANCE, PERFORMANCE, CONDUCT, OR BUSINESS PRACTICES OF ANY USER, OWNER-OPERATOR, MEMBER, OR THIRD PARTY.

 

USE OF THE SERVICES AND RELIANCE ON NETWORK INFORMATION ARE AT YOUR OWN RISK.

 

21. LIMITATION OF LIABILITY

 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARGO EXPEDITE LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES.

 

THIS INCLUDES, WITHOUT LIMITATION, LOST PROFITS, LOST BUSINESS OPPORTUNITIES, LOST DATA, BUSINESS INTERRUPTION, TRANSPORTATION LOSSES, OR DAMAGES RESULTING FROM DEALINGS BETWEEN NETWORK PARTICIPANTS.

 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARGO'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ARGO FOR THE APPLICABLE SERVICE DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

 

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

 

22. INDEMNIFICATION

 

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Argo Expedite LLC and its owners, officers, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable costs arising from:

  • Your misuse of the services

  • Your violation of these Terms

  • Information you submit to Argo

  • Your violation of applicable law or third-party rights

  • Your business dealings with another network participant

 

23. GOVERNING LAW

 

These Terms and disputes arising from or relating to them or the Argo services will be governed by the laws of the State of Texas, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

 

Subject to any mandatory rights provided by applicable law, disputes that are permitted to be brought in court will be brought in a court of competent jurisdiction located in Texas.

 

24. CHANGES TO THESE TERMS

 

Argo may update these Terms from time to time to reflect changes to our services, business practices, technology, or legal requirements.

 

When these Terms are updated, the Last Updated date at the top of this page will be revised.

 

For material changes, Argo may provide additional notice through the website, member account, email, or another reasonable method.

 

Continued use of the services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

 

25. SEVERABILITY

 

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

 

26. ENTIRE AGREEMENT

 

These Terms, together with the Privacy Policy, Cookie Policy, applicable subscription terms, and any separate written agreement entered into between you and Argo, constitute the applicable agreement concerning your use of the Argo website and services.

 

If a separately signed written agreement conflicts with these Terms regarding the specific services covered by that agreement, the signed agreement will control for those services.
